R. Michael Momboisse is of counsel in the Corporate Practice Group of Carr & Ferrell. Mr. Momboisse has extensive experience advising and representing clients in a wide range of corporate matters, with particular emphasis in the areas of mergers and acquisitions, securities law compliance, venture capital financings, initial and secondary offerings, protection of corporate and intellectual property, compensation planning and legal aspects of business formation.

Having spent a significant portion of his career as a senior executive of an early stage venture capital firm and as Chief Financial Officer and head of M&A for a publicly held corporation, Mr. Momboisse's legal expertise is supplemented by a real “hands on” practical understanding of the day-to-day operational and strategic needs of his clients.

Mr. Momboisse was also named one of the Bay Area's Top Lawyers in 2005 by the Bay Area Lawyers magazine.

  • Represented EMCON in cash tender offer sale to The IT Group.
  • Represented frogdesign, inc. in cash tender offer sale to Flextronics International USA, Inc.
  • Represented Photonic Power Systems in sale to JDS Uniphase Corporation.
  • Handled over $1.5 billion in M&A transactions and venture financings.
  • Handled over $400 million in real estate and R&D partnership syndications.
  • Successfully negotiated numerous joint venture strategic alliance, and technology transfer/license transactions.
